KITCHENAID FORUM TERMS & CONDITIONS OF USE

1. ACCEPTANCE OF TERMS
Your use of KitchenAid Conversations (the “Service”) is subject to the following Terms of Service ("TOS"), which may be updated by us from time to time without notice to you. You can review the most current version of the TOS at any time at: http://www.kitchenaid.com/custserv/terms.jsp

2. REGISTRATION
In order to use the Service, you must be at least 18 years old, and you are required to provide a username, password and e-mail address. Cookies must be turned on in your browser to participate as a user in the Service (Cookies are used here to hold your username and password and viewing options, allowing you to login). The Service provides users with two options for changing and modifying information that they provide in their profile: (1) Users can login with their username and password to change any information in their profile; (2) In case of lost password, users can send an e-mail to kac-conversations@whirlpool.com . You agree that any information you provide will be true, accurate, current and complete. If you provide any information that is untrue, inaccurate, not current or incomplete, or KitchenAid has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, KitchenAid has the right to suspend or terminate your account and refuse any and all current or future use of the Service (or any portion thereof).

3. PRIVACY POLICY

4. ACCOUNT, PASSWORD AND SECURITY
You will receive a password and account designation upon completing the Service's registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account. You agree to (a) immediately notify KitchenAid of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session. KitchenAid cannot and will not be liable for any loss or damage arising from your failure to comply with this Section 4.

5. CONTENT SUBMISSIONS
You, and not KitchenAid, are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available via the Service. KitchenAid does not control the Content posted via the Service and, as such, does not guarantee the accuracy, integrity or quality of such Content. Under no circumstances will KitchenAid be liable in any way for any Content, including, but not limited to, for any errors or omissions in any Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, emailed, transmitted or otherwise made available via the Service. With respect to Content you submit or make available for inclusion on the Service, you grant KitchenAid the world-wide, perpetual, royalty free and non-exclusive license(s), as applicable, to use, distribute, reproduce, modify, adapt, publicly perform and publicly display such Content. You agree to not use the Service to: (a) post any Content that is unlawful, harmful, threatening, abusive, harassing, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable; (b) impersonate any person or misrepresent your affiliation with a person or entity; (c) post any Content that you do not have a right to make available; (d) post any unsolicited or unauthorized advertising or promotional materials or solicitations, (e) post any material that contains software viruses; violate any applicable local, state, national or international law. KitchenAid and its designees shall have the right (but not the obligation) in their sole discretion to refuse or move any Content that is available via the Service, with or without cause. You acknowledge that you may not rely on any Content available via the Service. You acknowledge and agree that KitchenAid may preserve Content and may also disclose Content if required to do so by law or otherwise in KitchenAid’s sole discretion.

6. INDEMNITY
You agree to indemnify and hold KitchenAid, and its subsidiaries, affiliates, officers, agents, co-branders or other partners, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of Content you submit, post, transmit or make available through the Service, your use of the Service, your connection to the Service, your violation of the TOS, or your violation of any rights of another.

7. MODIFICATIONS TO SERVICE
KitchenAid reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that KitchenAid shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

8. TERMINATION
You agree that KitchenAid in its sole discretion may, without prior notice, immediately terminate your account and access to the Service, with or without cause. Cause for such termination shall include, but not be limited to, (a) breaches or violations of the TOS or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by you (self-initiated account deletions), (d) discontinuance or material modification to the Service (or any part thereof), (e) unexpected technical issues or problems, and (f) extended periods of inactivity. KitchenAid shall not be liable to you or any third-party for any termination of your account or access to the Service.

9. LINKS
The Service may provide, or third parties may provide, links to other World Wide Web sites or resources. KitchenAid has no control over such sites and resources, and you agree that KitchenAid is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources. You further acknowledge and agree that KitchenAid shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.

10. KITCHENAID'S PROPRIETARY RIGHTS
You acknowledge and agree that the Service and any necessary software used in connection with the Service ("Software") contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or the Software, in whole or in part. KitchenAid grants you a personal, non-transferable and non-exclusive right and license to use the object code of its Software on a single computer; provided that you do not copy, modify, create a derivative work of, reverse engineer, reverse assemble or otherwise attempt to discover any source code, sell, assign, sublicense, grant a security interest in or otherwise transfer any right in the Software. You agree not to modify the Software in any manner or form, or to use modified versions of the Software, including (without limitation) for the purpose of obtaining unauthorized access to the Service.

11. NO WARRANTIES
YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. KITCHENAID EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM KITCHENAID OR THROUGH OR FROM THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TOS.

12. LIMITATION OF LIABILITY
KITCHENAID SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF KITCHENAID HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SERVICE; (ii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iii) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (iv) ANY OTHER MATTER RELATING TO THE SERVICE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

14. GENERAL INFORMATION
The TOS constitute the entire agreement between you and KitchenAid and govern your use of the Service. The TOS and the relationship between you and KitchenAid shall be governed by the laws of the State of Michigan without regard to its conflict of law provisions.
